Legal Separation

The UK and Nigerian companies may work together under written commercial agreements, but each company is a separate legal entity and is responsible for its own contracts, obligations and liabilities. The applicable contracting entity will be stated in each quotation, purchase order, statement of work or agreement. One company does not automatically guarantee the obligations of the other.

Certadyn Ltd (UK) and Certadyn Limited (Nigeria) are separate legal entities. A contract, warranty, representation or obligation given by one company does not automatically bind the other. Where a project involves both companies, the written agreement will identify which company is responsible for each obligation.

How the Companies Work Together

A typical Nigerian procurement flow may involve both entities, each under its own contract and with clear responsibilities.

    Intercompany supply

    Certadyn Ltd (UK) sells or transfers goods to Certadyn Limited (Nigeria) under a written supply agreement.

    Local delivery

    Certadyn Limited (Nigeria) imports, clears, delivers or installs the goods in Nigeria and remains responsible to the Nigerian customer unless the customer contract says otherwise.
